1. SCOPE OF APPLICATION
The following General Terms and Conditions (TCG) apply to all orders placed through our website. The offer on this website is addressed exclusively to consumers residing in Switzerland (referred to as the “Customer”). A consumer is defined as a natural person who maintains a commercial relationship with VALL’DOAIDO GmbH (referred to as VALL’DOAIDO). Orders in quantities not customary for the home government may be refused without justification.
VALL’DOAIDO reserves the right to change these General Terms and Conditions at any time. The version of these GTC in force at the time of the order is applicable and cannot be changed unilaterally for that order. Any customer terms and conditions that conflict with or deviate from these GTC will not be recognized. The operator of this website is VALL’DOAIDO.
2. INFORMATION ON THIS WEBSITE
VALL’DOAIDO contains information about products and services. We reserve the right to make changes to prices and product range, as well as technical changes. All information in VALL’DOAIDO (product descriptions, images, illustrations, films, dimensions, weights, technical specifications, accessory relationships and other information) are for illustrative purposes and should be understood as approximate values and are not binding. In particular, they do not represent any guarantee of properties or guarantees, unless explicitly stated otherwise. VALL’DOAIDO makes every effort to ensure that all details and information on this website are correct, complete, up-to-date and clearly presented, however VALL’DOAIDO cannot expressly or implicitly guarantee this. All offers on this website are subject to change and should not be construed as a binding offer. VALL’DOAIDO cannot guarantee that the products listed will be available at the time the order is placed. Therefore, all information on availability and delivery times is without guarantee and may be changed at any time without prior notice.
3. PRICES
The sales prices indicated on VALL’DOAIDO represent the final prices and, unless otherwise stated, include the legal value added tax and any other legal taxes, such as advance recycling fees (VRG). Prices are quoted net in Swiss francs (CHF).
Any shipping costs will be charged additionally unless the order is more than CHF. 250.00, and must be paid by the customer. Shipping costs are shown separately in the ordering process.
VALL’DOAIDO reserves the right to make technical changes, errors and printing errors. In particular, VALL’DOAIDO may make price changes at any time and without prior notice. Consultancy and support services are not included in sales prices.
4. CELEBRATION OF CONTRACT
The products and prices on this website are non-binding offers.
By placing an order via this website, including acceptance of these GTC, the customer submits a legally binding offer to enter into a contract. VALL’DOAIDO will then send an automatic order confirmation by email, which confirms that the customer’s offer has been received by VALL’DOAIDO. Orders placed are binding on the customer. Unless otherwise stated, there is no right of return or withdrawal.
The contract is concluded as soon as VALL’DOAIDO sends a declaration of acceptance by email confirming the dispatch of the ordered products or services.
Orders will only be delivered after full payment has been received (exception: delivery against invoice) and as long as the merchandise is available. If it turns out that the ordered merchandise cannot be delivered or cannot be delivered in full, VALL’DOAIDO will have the right not to accept or to fulfill only part of the order. In this case, VALL’DOAIDO will inform the customer by email. If the customer's payment has already been received by VALL’DOAIDO, the payment will be refunded in full or only the difference to the customer. If no payment has yet been made, the customer will be released from the payment obligation.
5. PAYMENT OPTIONS AND PROPERTY RESERVATION
The customer has the payment options indicated in the order process at their disposal.
VALL’DOAIDO reserves the right to exclude customers from individual payment options without giving reasons or insisting on advance payment.
In case of late payment by the customer, VALL’DOAIDO may charge late payment interest of 5% per year and a reminder fee of a maximum of CHF. 20.00 per reminder.
The products delivered to the customer will remain the property of VALL’DOAIDO until payment has been made in full.
6. DELIVERY, INSPECTION OBLIGATION, NOTIFICATION OF DEFECTS
Deliveries will be sent by post or courier service to the address indicated by the customer in the order.
VALL’DOAIDO will endeavor to keep delivery times as short as possible. However, any delivery times indicated in the order confirmation are not binding. VALL’DOAIDO has the right to make partial deliveries. In this case, the customer will only be charged once for shipping costs.
The sending of the invoice, provided that delivery against invoice is offered, will take place at the discretion of VALL’DOAIDO, by email or by post. If the delivery cannot be delivered or if the customer refuses to accept delivery, VALL'DOAIDO may dissolve the contract after notifying the customer by e-mail and subject to a reasonable grace period, in which case it may also charge the cost of the inconvenience to the customer.
The customer is obliged to inspect the delivered merchandise immediately upon receipt of delivery and to report any defects for which VALL'DOAIDO is responsible immediately in writing, by letter or email, to the address indicated in printed.
In this case, returns to VALL’DOAIDO will be made at the customer’s expense and risk. The customer must send the merchandise in its original packaging, complete with all accessories and together with the delivery note and a detailed description of the defects including photographs to the address indicated on the print.
If VALL’DOAIDO’s inspection reveals that the merchandise has no detectable defects or is not covered by the manufacturer’s warranty, VALL’DOAIDO may charge the customer for the effort involved in returning the merchandise or for possible disposal.
7. CANCELLATION AND RETURN
According to Swiss law, the customer has no legal right to withdrawal or return. However, VALL’DOAIDO will make every effort to find the most satisfactory solution to any problems that may arise.
8. WARRANTY
VALL’DOAIDO will strive to provide its products with the highest quality. It is at VALL’DOAIDO’s discretion to provide the warranty through free repair, replacement of equal value or refund of the purchase price. Other warranty rights are excluded.
The warranty does not cover normal wear and tear or the consequences of incorrect handling or damage by the customer or third parties or defects attributable to external circumstances.
In the case of wine products, VALL’DOAIDO will take the utmost care with these products in its possession, but will not be responsible for the condition of the wine, nor for the fact that the quality does not meet the Customer’s expectations. According to the regulations of the Swiss Wine Trade Association, spoiled wine bottles will only be replaced if the wine is Swiss or if it is foreign wine bottled in Switzerland.
Broken or cracked corks can always occur when opening bottles. However, this does not give the customer the right to exchange or return the purchased product.
Damaged cork stoppers can occur with all products (spirits and wines, etc.). In the case of damaged cork flavor, the bottle must be returned to the address mentioned in the form (link). We will professionally verify the claim and send a replacement bottle if the claim is justified. A claim will not be accepted if more than 10cl is missing. The taste of damaged corks can be detected quickly, so each customer should briefly taste their wines and note any defects.
Rarities and old wines are excluded from any returns, exchanges and guarantees. The customer cannot claim any compensation.
VALL’DOAIDO cannot give any guarantees regarding the timeliness, integrity and correctness of the data, as well as the constant or undisturbed availability of the website, its functionalities, integrated links and other contents. In particular, no representation or warranty is made that the use of the website will not infringe the rights of third parties that are not owned by VALL’DOAIDO.
9. RESPONSIBILITY
VALL’DOAIDO excludes any liability, regardless of its legal basis, as well as claims for compensation against VALL’DOAIDO and any auxiliary persons and auxiliary agents. In particular, VALL’DOIDO will not be responsible for indirect and consequential damages, loss of profit or other personal damages, material damage and pure financial loss of the customer. Liability for damages caused by gross negligence or intent on the part of the Seller remains reserved.
VALL’DOAIDO uses hyperlinks solely for the purpose of facilitating customer access to other websites. VALL’DOAIDO cannot know in detail the content of these web offers, nor assume responsibility or any other responsibility for the content of these websites.
10. PRIVACY POLICY
VALL’DOAIDO may process and use the data recorded during the conclusion of the contract with the aim of fulfilling the obligations arising from the purchase and sale contract and for marketing purposes. Data necessary for the fulfillment of the service may also be transmitted to requested service partners (logistics partners) or other third parties. 11. DISSOCIATION CLAUSE
If the individual clauses of the contract or clauses of the General Terms and Conditions are invalid, ineffective, void or inapplicable or become invalid or inapplicable after the conclusion of the contract, the validity of the rest of the contract will remain unaffected. Invalid or inapplicable clauses will be replaced by a valid and enforceable clause whose effects come closest to the economic objective pursued by the contracting parties with the invalid or inapplicable clause. The above-mentioned clauses are also applicable in the event that the contract proves to be incomplete.
VALL’DOAIDO expressly reserves the right to change these GTC at any time and to make them come into force without prior notice.
12. PROTECTION OF YOUNG PEOPLE
According to legal regulations, wine cannot be sold to anyone under the age of 16, and spirits cannot be sold to anyone under the age of 18. By placing your order, you confirm that the information you have provided is correct and that you are entitled to make a purchase.
13. COURT OF JUSTICE
The entire legal relationship between VALL’DOAIDO and the customer will be governed by Swiss law (excluding the United Nations Convention on Contracts for the International Sale of Goods - CISG, Vienna sales convention). The place of performance and the exclusive court of jurisdiction is Balsthal.
